1. Definitions

The following terms used throughout this Agreement shall have the meanings set out below:

2. Eligibility & Registration

To be eligible to participate in the Remindax Affiliate Program, you must meet all of the following requirements at the time of application and continuously throughout the duration of this Agreement:

• You must be at least 18 years of age.
• You must have a valid, active Remindax account in good standing.
• You must provide accurate, complete, and up-to-date personal and payment information during registration.
• You must not be an employee, contractor, director, or agent of Remindax or any of its affiliated entities.
• You must have a legitimate online or offline channel (website, social media, email list, YouTube channel, etc.) through which you intend to promote Remindax.
• You must agree to these Terms & Conditions in full before your application can be approved.

2.1 Approval Process

Submission of an affiliate application does not guarantee approval. Remindax reserves the right to approve or reject any application at its sole discretion, without being required to provide a reason for rejection. Upon approval, the Company will:

• a) Generate and assign a unique Referral Link to your account.
• b) Generate and assign a unique Promo Code in the format [FIRSTNAME]RDX.
• c) Create corresponding Stripe Coupon objects internally linked to your Promo Code.
• d) Send you a confirmation email containing your Referral Link, Promo Code, and access to your Affiliate Dashboard.

2.2 One Account Per Person

Each individual or entity may hold only one Affiliate account. Creating multiple accounts to circumvent tier thresholds, commission caps, or any other system rule is strictly prohibited and will result in immediate suspension of all accounts and forfeiture of all pending commissions.

3. Promo Code & Referral Link

3.1 Code Assignment

Remindax exclusively generates and assigns all Promo Codes. Affiliates have no right to choose, alter, or request a specific code format. The assigned code is unique to you and permanently linked to your affiliate account.

When a customer applies your Promo Code at checkout, they receive the following discounts:

3.4 Attribution - Link vs. Code

A customer can be attributed to you through either your Referral Link (cookie-based) or your Promo Code (explicit entry at checkout). In the event of a conflict where a customer clicks one affiliate's Referral Link but enters a different affiliate's Promo Code, the Promo Code attribution takes precedence. An explicit customer action outweighs a passive cookie.

3.5 Code Usage Restrictions

• You may not share your Promo Code in a manner that misrepresents the discount amount or duration.
• You may not list your Promo Code on coupon aggregator websites in a way that implies ongoing or unlimited discounts beyond what is specified herein.
• You may not use your Promo Code in paid advertising that directly competes with Remindax's own paid campaigns without prior written consent.
• You may not use your Promo Code to make purchases for third parties in exchange for a payment to yourself outside the Commission structure.

4. Commission Structure

4.1 Tier Rates

Your Commission rate is determined by the number of active Referred Customers on paid plans at any given time. Tiers are reviewed and adjusted automatically at the end of each calendar month.

4.2 Commission Calculation Basis

All Commissions are calculated on the invoice amount actually collected by Remindax (invoice.amount_paid), which is the amount after any applicable discounts including the affiliate Promo Code discount. Commissions are never calculated on list or undiscounted prices.

4.3 Monthly Plan Commission

• Months 1-3: Commission calculated on the discounted invoice amount (20% discount applied via Promo Code).
• Month 4 onwards: Commission calculated on the full plan price (no customer discount active).
• Commission continues for 12 months (Starter/Growth) or for the lifetime of the subscription (Pro/Elite).

4.4 Annual Plan Commission

Annual plan commission is structured as follows:

• Year 1 (with Promo Code): Commission = Tier % applied to the Year 1 invoice amount (after 25% total discount). Additionally, a one-time Annual Bonus Commission of 5% of the Year 1 invoice amount is credited separately.
• Year 2 onwards: Commission = Tier % applied to the standard annual invoice amount (after Remindax's standard 20% annual discount). No Annual Bonus Commission applies to renewal years.

4.5 Annual Bonus Commission

The Annual Bonus Commission (5% of Year 1 annual invoice amount) is a one-time payment credited only for the first billing cycle of an annual subscription. It does not recur on subsequent annual renewals. It is subject to the same 30-day Hold Period as regular Commissions.

4.6 Tier Upgrade Rules

• Tier upgrades are applied from the first day of the following month after the qualifying threshold is crossed.
• Tier upgrades are never retroactive - previously approved Commissions are not recalculated at a new rate.
• Tier downgrades apply if active referral count falls below a tier threshold (e.g. due to cancellations) and are also applied from the first day of the following month.

5. Hold Period, Approval & Payouts

5.1 Hold Period

All Commissions - regardless of tier, plan type, or amount - are subject to a mandatory 30-day Hold Period from the date of the Conversion. During this period, Commissions remain in Pending status and are not eligible for payout. This hold exists to account for refund windows and potential chargebacks.

5.2 Commission Approval

On the 1st of each month, Remindax's automated system reviews all Commissions that have completed their 30-day Hold Period and moves them from Pending to Approved status. Approved Commissions are added to the Affiliate's available payout balance.

5.4 Payout Responsibility

The Affiliate is solely responsible for providing accurate and complete payment details. Remindax shall not be liable for any payout delays, failures, or losses arising from incorrect payment information provided by the Affiliate. Any transfer fees charged by the receiving bank or payment provider are the Affiliate's responsibility.

5.5 Commission Reversal

Remindax reserves the right to reverse or withhold Commissions in the following circumstances:

• The Referred Customer issues a successful chargeback or disputes their payment.
• The Referred Customer cancels and obtains a refund within Remindax's refund policy window.
• The Conversion is subsequently determined to be fraudulent or in violation of these Terms.
• The Affiliate's account is suspended or terminated for cause.

If a reversal occurs on a Commission already paid out, the reversed amount will be deducted from future Commission balances.

6. Prohibited Conduct & Fraud Prevention

The following conduct is strictly prohibited. Any violation may result in immediate account suspension, forfeiture of all pending and approved Commissions, and legal action where applicable.

6.1 Self-Referral

Self-referral in any form is strictly prohibited. This includes but is not limited to:

• Using your own Referral Link or Promo Code when creating or upgrading your own Remindax account.
• Referring family members, household members, or any person with whom you share financial accounts or payment instruments.
• Referring business entities you own, control, or have a financial interest in.
• Creating secondary Remindax accounts for the purpose of generating Commission.

Remindax's fraud detection system automatically checks for matching email addresses, matching payment methods, overlapping IP addresses, and device fingerprints between affiliates and converted customers. Accounts flagged by this system are subject to review and potential immediate suspension.

6.2 Misleading or Deceptive Promotion

• You may not make false, misleading, or exaggerated claims about Remindax's product features, pricing, or capabilities.
• You may not impersonate Remindax or create materials that appear to be official Remindax communications without written approval.
• You may not offer cash, gifts, or any other incentive to customers in exchange for signing up using your referral, beyond the standard promo code discount.

6.3 Spam & Unsolicited Communication

• You may not send unsolicited bulk email (spam) promoting Remindax.
• You may not use automated bots, scripts, or systems to artificially inflate click counts, referral counts, or any tracked metrics.
• You may not post referral links or codes in a context that violates the terms of service of the platform where they are posted.

6.4 Code Manipulation

• You may not attempt to guess, brute-force, or impersonate another affiliate's Promo Code.
• You may not create look-alike codes or domains designed to intercept another affiliate's traffic.

7. Intellectual Property & Brand Usage

Remindax grants you a limited, non-exclusive, non-transferable, revocable licence to use the Remindax name, logo, and approved marketing materials solely for the purpose of promoting the Affiliate Program in accordance with these Terms.

• You may not alter, distort, or modify the Remindax logo or brand assets in any way.
• You may not use the Remindax name or logo as part of your own brand name, social media handle, domain name, or business name.
• You may not register any trademark, domain, or social media account that includes the word "Remindax" or any confusingly similar variation.
• All intellectual property rights in the Remindax platform, brand, and marketing materials remain exclusively with Remindax.

This licence terminates automatically upon the termination of your participation in the Affiliate Program for any reason.

8. Confidentiality

As an Affiliate, you may be given access to non-public information about Remindax's commission rates, internal tools, conversion data, and other business information. You agree to:

• Keep all such information strictly confidential.
• Not disclose commission rates, internal benchmarks, or system mechanics to third parties without Remindax's written consent.
• Not use any confidential information for any purpose other than participating in the Affiliate Program.

This obligation of confidentiality survives the termination of this Agreement for a period of two (2) years.

9. Term & Termination

9.1 Duration

This Agreement commences on the date your affiliate application is approved and continues indefinitely until terminated by either party.

9.2 Termination by Affiliate

You may terminate your participation at any time by notifying Remindax in writing via the contact details below. Upon termination:

• Your Referral Link and Promo Code will be deactivated immediately.
• Commissions in Pending status will remain subject to the standard 30-day Hold Period review.
• Commissions that have completed the Hold Period and been approved prior to termination will be paid out on the next scheduled Payout Date, provided the minimum threshold is met.
• No new Commissions will be generated after the termination date.

9.3 Termination by Remindax

Remindax reserves the right to suspend or terminate your Affiliate account at any time, with or without cause, by providing written notice. In the event of termination for cause (including fraud, breach of these Terms, or prohibited conduct), all Pending and Approved Commissions shall be forfeited. In the event of termination without cause, Approved Commissions will be paid out on the next scheduled Payout Date.

9.4 Program Modification or Discontinuation

Remindax reserves the right to modify, suspend, or discontinue the Affiliate Program at any time by providing 30 days' written notice to active affiliates. Commissions earned and approved prior to the effective date of discontinuation will be honoured.

10. Modifications to These Terms

Remindax may update or modify these Terms & Conditions at any time. When material changes are made, Remindax will notify active Affiliates via the email address on file at least 14 days before the changes take effect. Continued participation in the Affiliate Program after the effective date of any amendment constitutes acceptance of the revised Terms. It is your responsibility to keep your email address current and to review communications from Remindax.

11. Disclaimer & Limitation of Liability

The Affiliate Program is provided "as is" without warranty of any kind, express or implied. Remindax does not guarantee any specific level of Commission earnings or referral conversions. Your results will depend entirely on your own promotional efforts and the quality of your audience.

To the maximum extent permitted by applicable law, Remindax's total liability to you for any claim arising out of or relating to this Agreement shall not exceed the total Commissions paid to you in the three (3) months preceding the event giving rise to the claim. In no event shall Remindax be liable for any indirect, incidental, consequential, special, or punitive damages.

12. Independent Contractor Relationship

You are an independent contractor. Nothing in this Agreement creates an employment, partnership, joint venture, franchise, or agency relationship between you and Remindax. You have no authority to bind Remindax to any contract or obligation. You are solely responsible for all taxes, levies, and contributions arising from any Commissions you receive.

13. Governing Law & Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of United States of America. Any dispute, controversy, or claim arising out of or relating to this Agreement that cannot be resolved amicably between the parties within 30 days of written notice shall be submitted to binding arbitration in United States of America, conducted in English under applicable arbitration rules.
